These Terms of Service ("Terms") govern your access to and use of LeadDiamond.dev ("the Platform", "we", "us"). By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree, do not use the Platform.

1 Acceptance of Terms

By creating an account or accessing any part of the Platform, you confirm that:

LeadDiamond.dev is a B2B lead intelligence platform that enables users to:

The Platform is designed for professional use by web agencies, freelancers, and marketing professionals seeking new business clients. The Platform does not send emails directly — all email delivery is handled by the email marketing platforms you connect using your own API credentials.

Platform as a Tool — Important. LeadDiamond.dev is a software tool only. All API keys (Google, OpenAI, Gemini, email platforms) are stored exclusively in your own server environment and are never transmitted to LeadDiamond.dev. All API calls are made from your server to the respective providers. LeadDiamond.dev has zero access to your API keys, collected data, generated emails, or outreach results. You are solely responsible for your API usage, associated costs, and compliance with each provider's terms.

3 Account Registration

Account registration is by invitation or administrator creation only. Public self-registration is not available.

4 Acceptable Use Policy

You may use the Platform to:

Cold Email Compliance: Email outreach generated by this platform must comply with applicable anti-spam laws including CAN-SPAM (US), CASL (Canada), and GDPR (EU). You are solely responsible for ensuring your outreach is lawful, includes a clear unsubscribe mechanism, and accurately identifies the sender.

5 Prohibited Uses

You must not use the Platform to:

6 Third-Party API Compliance

6.1 Google APIs

Use of Google Places API and PageSpeed Insights API is subject to Google's APIs Terms of Service and the Google Maps Platform Terms of Service. You must not use data retrieved from Google APIs in ways that violate these terms, including building competing services or caching data beyond permitted periods.

6.2 OpenAI API

AI-generated email content is produced via OpenAI's API and is subject to OpenAI's Usage Policies. You must not use generated content for deceptive practices, to impersonate others, or to generate content that violates OpenAI's policies.

6.3 Google Gemini API

Social media discovery (Facebook, Instagram profiles) is performed via Google Gemini API with Google Search grounding. Use is subject to Gemini API Terms of Service and Google Terms of Service. You must not use discovered social profiles for spam, harassment, or any purpose that violates the respective platform's terms.

6.4 Email Platform Integrations

When you connect third-party email platforms (Mailchimp, HubSpot, Klaviyo, ActiveCampaign, Brevo, ConvertKit, GetResponse, ConstantContact), business contact data is sent directly from your server to those platforms under your account. You are solely responsible for compliance with each platform's terms and applicable anti-spam law (CAN-SPAM, CASL, GDPR).

6.5 Your Responsibility for All API Usage

You are responsible for: (a) maintaining valid API keys, (b) complying with each provider's terms of service, (c) managing your API quota, rate limits, and billing costs, (d) ensuring all data collected and emails sent comply with applicable law. LeadDiamond.dev has no access to your API keys and bears zero responsibility for costs incurred through your API usage, including during Demo mode where real API calls may be made under your configured keys.

7 Intellectual Property

All software code, design, trademarks, and content comprising the LeadDiamond.dev platform are the intellectual property of LeadDiamond.dev and its licensors.

8 Data & Privacy

Our collection and use of personal data is governed by our Privacy Policy, which is incorporated into these Terms by reference.

Because you operate your own instance of LeadDiamond.dev on your own server, you act as a data controller for any personal data you process through the Platform. You are responsible for ensuring your use complies with GDPR, CCPA, and other applicable data protection laws.

9 Disclaimers & Warranties

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

Business information retrieved via Google Places may be outdated, incomplete, or inaccurate. You are responsible for verifying any data before use.

10 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, LEADDIAMOND.DEV SHALL NOT BE LIABLE FOR ANY:

Our total aggregate liability shall not exceed the amount you paid for the Platform in the 12 months preceding the claim, or €100, whichever is greater.

11 Indemnification

You agree to defend, indemnify, and hold harmless LeadDiamond.dev and its affiliates from any claims, damages, losses, or expenses (including legal fees) arising from:

We reserve the right to suspend or terminate your access to the Platform at any time, with or without notice, if:

Upon termination, your right to use the Platform ceases immediately. Sections 7, 9, 10, 11, and 13 survive termination.

13 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the European Union and applicable member state law, without regard to conflict of law principles. Any disputes shall be resolved through good-faith negotiation or, failing that, binding arbitration.
